Why Do I Need a Registered Agent?

A Registered Agent can be an individual, an entity or a commercial agent.  The main purpose of a Registered Agent is to receive service of process or other legal communications on behalf of an entity.  The Registered Agent must have a physical address in the State of Nevada.

A Registered Agent is a legal requirement if you are creating a new Nevada entity or registering your existing out of state entity with the Nevada Secretary of State’s Office.

 

Having a Registered Agent ensures the Secretary of State, and any other interested third parties such as creditors and governmental agencies, have a point of contact with entities registered within its jurisdiction. Any out of state entity conducting or transacting business within the State of Nevada, even if it does not maintain a physical presence in Nevada,  is required to register as a foreign entity with the Nevada Secretary of State, which also requires the designation of a Registered Agent within the State of Nevada for the foreign entity.

Minden Lawyers is a Commercial Registered Agent. We provide registered agent services to both in state and out-of-state businesses and entities.

 

By designating a Registered Agent, such as Minden Lawyers, LLC, you can rest assured that your service of process will be handled and processed properly. Because we are a full service law firm, we can also assist you with additional services, such as answering the many complex questions that come with forming a new entity, or maintaining an existing or out-of- state entity. As attorneys, we can answer the myriad of legal questions that arise with respect to ongoing operations or transactions of your business. This is something that most other Registered Agents cannot provide.

What does it cost and what is included?

Our resident agent fee is $200 per year. This does not include entity formation, with which we can assist for an additional charge. There is also a one-time setup charge of $50 for preparing the initial paperwork to establish the resident agent relationship for your existing entity with the Nevada Secretary of State.  The annual resident agent fee includes our preparation and filing of the annual list of directors and officers for corporations, or alternatively members and managers of a limited liability company (LLC). The resident agent fee includes our law firm accepting service of process and legal notices for your entity. It also includes, with your participation, the preparation and filing of the necessary documents to obtain the required annual business license.    

 

Our annual resident agent fee does not include the filing fees charged by the Nevada Secretary of State for any documents filed with the State’s Office, such as the annual lists and business license fees. Our resident agent fees also do not include any legal services, which are subject to separate legal agreements and our professional rates.
